F&Q about Business Dissolution Services

What is business dissolution?

Company dissolution, or business dissolution, is the process of ending the operations and existence of a business when the company no longer can or is not qualified to continue operating. This requires the business owner to carry out a series of legal procedures to terminate activities related to the legal entity status, as well as related rights and obligations.

A business can only be dissolved when:

  • All debts and other financial obligations have been settled.
  • The business is not involved in any ongoing disputes at the Court or arbitration agency.
  • Expiry of the operating period stated in the company’s Articles of Association without a decision to extend;
  • Decision of dissolution by the business owner (in the case of a private enterprise), by all general partners (in the case of a partnership), by the Members’ Council and the owner (in the case of a limited liability company), or by the General Meeting of Shareholders (in the case of a joint-stock company);
  • The company no longer has the minimum number of members as stipulated by law for a period of six consecutive months without undergoing procedures to convert the type of business;
  • Revocation of the Enterprise Registration Certificate.

The choice between dissolving or temporarily suspending business operations depends on the business’s decision.

If the business is no longer able to recover production and business activities, or no longer wants to operate under the current legal entity, it will proceed with the business dissolution procedure. Once dissolved, to resume operations, a new business must be established.

If due to objective influences from the economy, the business’s operations are temporarily ineffective, the business will choose the option of temporarily suspending business operations for a certain period. And wait for the market to “warm up” to continue operating.

  • The complexity of the dissolution process: From completing legal procedures, managing assets, settling tax obligations, to negotiating with stakeholders, everything requires professionalism and discipline.
  • Saving time while ensuring compliance with all legal regulations.
  • Cost savings: A professional service can advise you on how to optimize tasks to avoid unnecessary expenses. They also help ensure that all tax obligations and debts are handled properly.
  • Free consultation on legal regulations before carrying out the dissolution procedure
  • Commitment to no additional costs
  • Cost savings
  • Comprehensive service from A to Z
  • Guarantee 100% successful dissolution

Besides dissolving the company, businesses can consider the procedures for temporary suspension of business and business transfer.
